TERMS AND CONDITIONS Last updated: 16 June 2026 INTRODUCTION AND ACCEPTANCE OF TERMS These Terms and Conditions ("Terms") govern your access to and use of the website, services, communications, vehicle inquiry forms, bidding assistance services, vehicle sourcing assistance, auction-related support, logistics coordination, and any related services provided by Lion Motors Group. By accessing our website, submitting an inquiry, requesting our services, communicating with us, instructing us to assist with vehicle sourcing or auction-related activities, or otherwise using our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you should not use our website or request our services. These Terms apply in addition to any separate agreement, invoice, service order, authorization form, payment instruction, or written arrangement entered into between you and Lion Motors Group. In the event of a conflict between these Terms and a separately executed written agreement, the terms of the separately executed written agreement shall prevail only to the extent of such conflict. NATURE OF OUR SERVICES Lion Motors Group is an international company specializing in sourcing and transporting vehicles from the United States to Georgia and other countries. Our goal is to make the car buying and import process simple, transparent, and trustworthy. We provide every client with a personal manager to ensure full process support from A to Z. Lion Motors Group provides vehicle sourcing, vehicle inquiry, auction assistance, bidding support, purchase coordination, transportation coordination, documentation support, and related services in connection with vehicles that may be available through third-party platforms, dealers, auction companies, suppliers, or other sources. Our services may include assisting customers in identifying vehicles of interest, reviewing publicly available vehicle information, communicating with auction platforms or third-party sellers, assisting with bidding instructions, coordinating payment-related information, arranging or assisting with transportation and logistics, and supporting the customer during the vehicle acquisition process. More specifically, our services are organized into the following categories: (a) Vehicle sourcing and purchasing, including sourcing and bidding assistance at major U.S. auctions, local and dealership sourcing, and “Buy Now” vehicles available for immediate purchase from Lion Motors Group’s own inventory; (b) Global logistics and shipping, including delivery to destinations worldwide and door-to-door service, subject to the restrictions on prohibited destinations described under “Transportation, Shipping, Pickup, Storage, and Delivery” below; (c) Registration and DMV Services, including vehicle registration, title transfers, license plate registration, temporary plates, and customs support; and (d) Dealer partner services, including accounts and auction access for qualifying dealers. (e) AI-powered search technology, leveraging artificial intelligence platforms to facilitate the search, identification, and matching of hard-to-locate vehicle parts and vehicle listings across an extensive database network. In general, a vehicle purchase proceeds through the following stages: vehicle selection (sourced locally, through auctions, or from Buy Now stock); cost estimation; purchase; shipping; customs clearance and registration; and final delivery, each as further described in the applicable sections of these Terms. Where selected by the customer, Lion Motors Group may assign a dedicated personal account manager to help coordinate these stages; the availability of an account manager does not alter the customer’s responsibilities or any disclaimer, limitation, or obligation set out in these Terms. NO DEALER GUARANTEE AND NO OWNERSHIP OF THIRD-PARTY VEHICLES Unless expressly stated otherwise in writing, Lion Motors Group does not own, inspect, certify, manufacture, repair, recondition, warrant, or guarantee vehicles listed by third-party auction platforms, dealers, sellers, insurance companies, financial institutions, fleet operators, or other third parties. Vehicle listings, photographs, descriptions, condition reports, damage descriptions, titles, mileage, keys, run-and-drive status, engine status, airbags, prior repairs, accident history, ownership history, market value, sale status, estimated repair cost, and other vehicle-related information are generally provided by third parties. Lion Motors Group may assist customers in reviewing such information, but we do not guarantee that the information is complete, accurate, current, reliable, or suitable for any particular purpose. Vehicle information may change without notice before, during, or after an auction or sale. The customer is solely responsible for deciding whether to bid on, purchase, import, transport, repair, register, or otherwise use any vehicle. Lion Motors Group also maintains a limited inventory of vehicles, marketed as “Buy Now” stock, that are available for immediate purchase. Unless expressly stated otherwise in writing, vehicles offered as “Buy Now” stock are sold on the same “as-is, where-is” basis described in these Terms, and the disclaimers regarding vehicle condition, information accuracy, and customer due diligence set out in these Terms apply equally to such vehicles, notwithstanding that Lion Motors Group may hold title to or possession of such vehicles prior to sale. CUSTOMER ACCOUNT, INFORMATION, AND COMMUNICATIONS In order to request our services, you may be required to provide information, including contact details, identification details, vehicle preferences, bidding instructions, payment-related information, shipping details, or other information necessary to provide the requested services. You agree that all information you provide to Lion Motors Group will be accurate, complete, current, and not misleading. You are responsible for promptly informing us of any changes or errors in the information provided. You agree that Lion Motors Group may communicate with you by email, phone, SMS, messaging applications, social media channels, website forms, or other communication methods used in the ordinary course of business. You are responsible for monitoring communications from us and responding in a timely manner, especially where payment deadlines, auction deadlines, bid approvals, storage deadlines, title matters, transportation deadlines, or other time-sensitive issues are involved. Lion Motors Group shall not be responsible for losses, penalties, missed bids, failed purchases, additional fees, storage charges, relisting fees, late payment fees, transportation delays, or other consequences resulting from your failure to provide accurate information, respond on time, review instructions, or comply with payment or auction requirements. PURCHASE OF VEHICLE If you request Lion Motors Group to assist with bidding on a vehicle, you must provide clear instructions regarding the vehicle, maximum bid amount, applicable fees, payment expectations, and any other conditions relevant to the bidding process. You acknowledge that bids placed at auctions are generally binding and may create a legal obligation to purchase the vehicle if the bid is successful, accepted, or otherwise confirmed under the rules of the applicable auction platform or seller. By instructing Lion Motors Group to assist with or place a bid on your behalf, you authorize Lion Motors Group to act in accordance with your instructions and acknowledge that you will be responsible for all costs, fees, obligations, and consequences arising from a successful bid or accepted offer. Lion Motors Group does not guarantee that a bid will be placed successfully, that a bid will win, that a vehicle will be awarded, that a seller will accept a bid, that a reserve price will be met, or that the auction platform will approve or complete the transaction. VEHICLE CONDITION AND "AS-IS" SALES Unless expressly stated otherwise in writing, vehicles sourced through auctions, salvage auctions, wholesale platforms, insurance auctions, dealer auctions, or similar channels are sold "as is", "where is", and "with all faults". This means that the vehicle may have visible or hidden damage, mechanical issues, electrical issues, structural damage, prior repairs, missing parts, title issues, odometer discrepancies, flood damage, fire damage, frame damage, airbag deployment, engine defects, transmission defects, suspension defects, computer or sensor defects, key issues, registration issues, or other problems. Photos, auction descriptions, condition reports, and other listing information may not show the full condition of the vehicle. A vehicle may look different in person than it appears in photographs. Damage may be more serious than described. Additional damage may be discovered after purchase, pickup, delivery, dismantling, inspection, repair, or customs review. Lion Motors Group does not guarantee the condition, quality, safety, roadworthiness, repairability, market value, resale value, registration eligibility, import eligibility, emissions compliance, or fitness for any particular purpose of any vehicle. Customers are strongly encouraged to conduct their own due diligence before authorizing any bid or purchase. VEHICLE INFORMATION, PHOTOS, REPORTS, AND THIRD-PARTY DATA Any vehicle information provided by Lion Motors Group may be based on information obtained from auction platforms, sellers, vehicle history providers, transportation companies, inspection services, public sources, or other third parties. Lion Motors Group may provide links, screenshots, descriptions, translations, summaries, or explanations of vehicle information for customer convenience. Such assistance does not constitute a warranty, certification, inspection, legal opinion, valuation, or professional mechanical assessment. We do not guarantee that vehicle history reports, auction photos, condition reports, damage codes, title descriptions, or seller disclosures are accurate, complete, or current. The customer remains solely responsible for evaluating whether the vehicle is suitable for purchase. PRICING, FEES, DEPOSITS, AND PAYMENT OBLIGATIONS The total cost of purchasing a vehicle may include multiple components, including but not limited to the winning bid amount, auction fees, buyer fees, internet bidding fees, documentation fees, gate fees, storage fees, loading fees, relisting fees, late payment fees, seller fees, broker fees, service fees, transportation fees, port fees, shipping fees, customs fees, taxes, duties, bank charges, currency conversion costs, inspection costs, and other applicable charges. Lion Motors Group may charge service fees for vehicle sourcing, bidding assistance, consultation, transaction support, documentation support, transportation coordination, or other services. Such fees may be stated separately, included in a quote, or agreed through written communication. Any estimate provided by Lion Motors Group is for informational purposes only and may change due to auction fees, exchange rates, seller charges, transportation rates, storage costs, customs requirements, port charges, third-party service fees, or other factors outside our control. The customer is responsible for paying all amounts due in full and on time. Failure to make timely payment may result in cancellation of the purchase, forfeiture of deposit, relisting of the vehicle, late payment fees, storage fees, account restrictions, legal claims, or other consequences imposed by the auction platform, seller, service provider, or Lion Motors Group. Deposits may be required before bidding or before providing certain services. Unless otherwise agreed in writing, deposits may be applied toward unpaid fees, penalties, cancellation charges, storage fees, relisting fees, transportation costs, or other amounts owed by the customer. Refundability of any deposit depends on the specific arrangement, auction status, costs already incurred, third-party rules, and whether the customer has fulfilled all payment and service obligations. Lion Motors Group aims to operate a transparent process and does not impose undisclosed service fees of its own. However, because the total landed cost of a vehicle depends on multiple third-party charges described above (including, without limitation, auction fees, transportation costs, customs duties, and taxes) that are determined by third parties and are outside Lion Motors Group’s control, the final cost may differ from any preliminary estimate, and Lion Motors Group does not guarantee that the final cost will match any such estimate. TRANSPORTATION, SHIPPING, PICKUP, STORAGE, AND DELIVERY Lion Motors Group may assist with arranging or coordinating transportation, towing, loading, inland transport, ocean shipping, port handling, delivery, or related logistics services through third-party transportation and logistics providers. Lion Motors Group offers shipping and delivery services to destinations worldwide, including full door-to-door delivery in many locations. Notwithstanding the foregoing, shipments and related services cannot be provided, and Lion Motors Group will not accept or fulfil any order, instruction, or shipment, to or involving any country, region, port, entity, or person that is subject to applicable international sanctions, embargoes, trade restrictions, or other regulatory prohibitions imposed by the United States, the European Union, the United Nations, or any other competent governmental or regulatory authority. Lion Motors Group reserves the right, at its sole discretion, to decline, suspend, cancel, or reroute any shipment or service where completing it would or might violate such sanctions, restrictions, or prohibitions, and shall not be liable for any loss, cost, delay, or damage arising from such refusal, suspension, cancellation, or rerouting. Unless expressly agreed otherwise in writing, transportation and logistics services are performed by independent third-party providers. Lion Motors Group is not responsible for delays, damage, loss, theft, storage fees, port congestion, customs delays, weather events, carrier issues, shipping schedule changes, auction yard delays, title delays, loading delays, or other events caused by third parties or circumstances outside our control. Pickup and delivery times are estimates only and are not guaranteed. Vehicle transportation may be delayed due to auction release procedures, payment processing, title processing, carrier availability, route scheduling, weather conditions, mechanical condition of the vehicle, port operations, customs procedures, or other factors. The customer is responsible for all storage fees, late pickup fees, redelivery fees, failed pickup fees, additional towing charges, port fees, demurrage, and other charges that arise due to delay, non-payment, incomplete documentation, customer instructions, or third-party requirements. THIRD-PARTY PLATFORMS AND SERVICES Our services may involve third-party auction platforms, vehicle history providers, payment processors, transportation companies, shipping companies, customs brokers, inspection providers, repair facilities, storage yards, towing companies, port operators, government authorities, and other third parties. Third-party services are governed by their own terms, conditions, rules, fees, schedules, policies, and limitations of liability. Lion Motors Group is not responsible for the acts, omissions, errors, delays, fees, policies, representations, or failures of third parties. Reference to any third-party company, auction platform, marketplace, service provider, logo, name, or website does not imply ownership, partnership, sponsorship, endorsement, agency, or affiliation unless expressly stated in writing. CUSTOMER RESPONSIBILITIES The customer agrees to use the website and services lawfully, provide accurate information, review vehicle information carefully, understand the risks of auction purchases, make independent purchasing decisions, pay all amounts due on time, comply with applicable auction rules, comply with import and registration laws, and communicate promptly with Lion Motors Group. The customer agrees not to use the website or services for fraudulent, unlawful, abusive, misleading, harmful, or unauthorized purposes. The customer shall not interfere with the operation of the website, attempt unauthorized access to systems, submit false information, impersonate another person, or use our services in a way that violates applicable law or third-party rights. The customer acknowledges that auction vehicle purchases involve risk and that Lion Motors Group is not responsible for losses arising from the customer's decision to bid on or purchase a vehicle. PROHIBITED USES You may not use our website or services to violate any law, infringe the rights of others, submit fraudulent or misleading information, interfere with website security, attempt unauthorized access, transmit harmful code, misuse communications, copy or exploit website content without authorization, or engage in conduct that may damage Lion Motors Group, its customers, its service providers, or third parties. Lion Motors Group reserves the right to refuse service, cancel assistance, suspend communication, decline a transaction, or terminate access to services if we believe that a customer has violated these Terms, applicable law, third-party auction rules, payment obligations, or reasonable business standards. INTELLECTUAL PROPERTY All content on our website, including text, graphics, logos, design elements, images, icons, service descriptions, documents, branding, and other materials, is owned by or licensed to Lion Motors Group and is protected by applicable intellectual property laws. Users may access and use website content only for personal, non-commercial purposes related to evaluating or requesting our services. No content may be copied, reproduced, modified, distributed, sold, displayed, published, or used for commercial purposes without our prior written consent. DISCLAIMERS The website and services are provided on an "as available" and "as is" basis. Any information provided by Lion Motors Group is for general assistance and coordination purposes only and should not be treated as a guarantee, warranty, professional inspection, legal advice, financial advice, customs advice, tax advice, or mechanical assessment. LIMITATION OF LIABILITY To the maximum extent permitted by applicable law, Lion Motors Group shall not be liable for any indirect, incidental, special, consequential, punitive, exemplary, or similar damages, including loss of profits, loss of opportunity, loss of use, loss of value, loss of business, transportation delay, repair cost increase, customs delay, registration refusal, auction cancellation, relisting fee, storage fee, or third-party charge arising out of or related to the use of our website or services. Nothing in these Terms shall limit liability where such limitation is prohibited by applicable law. INDEMNIFICATION You agree to indemnify, defend, and hold harmless Lion Motors Group, its owners, directors, officers, employees, representatives, contractors, affiliates, service providers, and agents from and against any claims, losses, damages, liabilities, penalties, costs, expenses, and reasonable attorneys' fees arising out of or related to your use of the website or services, your bidding instructions, your purchase decisions, your failure to pay amounts due, your violation of these Terms, your violation of third-party auction rules, your violation of law, your inaccurate information, or your misuse of any vehicle or service. NO GUARANTEE OF RESULTS Lion Motors Group may use reasonable efforts to assist customers with vehicle sourcing, bidding, purchase coordination, documentation support, and transportation coordination. However, we do not guarantee any particular result. We do not guarantee that a specific vehicle will be available, that a bid will be successful, that a vehicle will be sold at a particular price, that transportation will occur by a specific date, that documents will be issued within a specific timeframe, or that a vehicle will meet customer expectations after purchase. FORCE MAJEURE Lion Motors Group shall not be responsible for any delay, failure, loss, or additional cost caused by events beyond our reasonable control, including acts of God, natural disasters, war, civil unrest, strikes, labor disputes, government actions, customs delays, port congestion, transportation disruptions, auction platform failures, internet outages, cyber incidents, weather conditions, pandemics, supplier failures, carrier delays, or other events outside our control. TERMINATION OR REFUSAL OF SERVICE Lion Motors Group may refuse, suspend, or terminate services at any time where we reasonably believe that continuing to provide services may violate law, third-party rules, payment obligations, business standards, or these Terms. Termination or refusal of service does not relieve the customer of payment obligations, auction obligations, penalties, fees, or costs already incurred. GOVERNING LAW AND DISPUTE RESOLUTION These Terms shall be governed by and interpreted in accordance with the laws of the United States and the applicable laws of the state in which Lion Motors Group is registered or principally operates, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms, the website, or the services shall first be addressed through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiations, the dispute shall be submitted to the competent courts located in the applicable jurisdiction of Lion Motors Group's registration or principal place of business, unless otherwise required by applicable law or agreed in writing. DEALER PARTNER SERVICES (ACCOUNTS AND AUCTION ACCESS) Lion Motors Group offers specialized support for automotive dealers and other qualifying business partners, including the issuance of accounts and access to major vehicle auctions, to support dealer sourcing and business growth (“Dealer Partner Services”). Lion Motors Group may require a dealer license, business registration, or other verification before issuing an account or granting auction access, and may decline to provide Dealer Partner Services to any applicant at its sole discretion. Accounts and auction access granted under this section are provided solely for the dealer partner’s own business use and may not be shared, sublicensed, resold, or transferred to any third party without Lion Motors Group’s prior written consent. The dealer partner is solely responsible for complying with all applicable auction platform rules, dealer licensing requirements, and other laws and regulations governing its business, and for all bids, purchases, fees, and other obligations made or incurred using a dealer account or auction access granted under this section. All other provisions of these Terms, including those addressing auction assistance, bidding instructions, vehicle condition, pricing, and payment obligations, apply equally to Dealer Partner Services unless expressly stated otherwise in writing. Lion Motors Group may suspend or revoke a dealer account or auction access at any time, without liability, if the dealer partner misuses the code or access, violates these Terms or any applicable auction platform rules, or fails to make timely payment. ANTI BRIBERY AND ANTI CORRUPTION POLICY Lion Motors Group LLC, together with its branch offices, subsidiaries, and affiliated companies and all entities operating under the Lion Group umbrella adheres to honest business operations and the highest standards of business ethics. The Company adopts a zero-tolerance attitude towards bribery and corruption in any form, whether involving Government Public Officials, business partners, auction houses, logistics providers, or private-sector counterparties, or automotive dealers. All employees, directors, and business partners representing or working with the Company must be clearly aware of, and strictly comply with, applicable anti-bribery laws, this Policy, and the Company's supporting compliance management systems. Compliance is the bottom line and prerequisite for the Company's operations. APPLICABLE SCOPE This Policy applies to: • All Directors, Employees, interns, contractors, and senior management of Lion Motors Group LLC and its affiliates; PROHIBITION OF BRIBERY AND CORRUPTION The Company strictly prohibits: • Offering, promising, giving, or authorizing any form of bribe; • Requesting, accepting, or receiving bribes; • Any form of direct or indirect corrupt payment or benefit; Bribery includes anything of value such as money, gifts, services, favors, entertainment, or other advantages intended to improperly influence a decision. ANTI-MONEY LAUNDERING (AML) Anti-Money Laundering and Counter-Terrorist Financing (AML/CFT) Policy establishes the internal compliance principles of LION MOTORS GROUP LLC to help prevent the use of its services for money laundering, terrorist financing, fraud, sanctions violations, or any other illegal activities. This Policy is adopted in line with applicable national legislation, FATF Recommendations, and relevant international sanctions regimes, including where applicable OFAC, EU, UK, and United Nations sanctions. The Company is committed to conducting its business in a lawful, transparent, and ethical manner. Where the Company identifies or suspects suspicious activity, it may take appropriate action, including refusing service, blocking transactions, or reporting to relevant authorities in accordance with applicable law. The Company does not engage in transactions involving individuals, entities, or jurisdictions subject to applicable international sanctions.
